Rich Smith, CFO at Formstack, is looking to hire a leader who will complement and strengthen the team.
What You’ll Do:
You will oversee Formstack’s Legal and Compliance functions. This position requires expert knowledge in a wide array of legal matters, and the ability to utilize that knowledge strategically to assist the CFO, CEO, Board of Directors, and other Formstack leadership in achieving corporate goals while limiting risk exposure.
How You’ll Succeed:
  • Determine, in concert with the CEO, CFO and Board of Directors, the company’s overall risk tolerance and posture, seeking to balance operational and commercial needs with appropriate risk mitigation policies and strategies
  • Responsible for all legal functions of the company including but not limited to litigation, customer and vendor negotiations, contracts and contracting processes, M&A and related matters, intellectual property maintenance and employee-related legal matters
  • Oversee company’s compliance (data privacy, security and regulatory compliance, as applicable) function, seeking to balance appropriate controls and compliance activities against operational needs
  • Foster productive, ongoing dialogue with the company’s other departments (product and engineering in particular) about how to prioritize security and compliance needs within the company’s overall product roadmap and corporate strategy
  • Participate in regular updates as appropriate to the company’s HR and employee documentation (employee handbook, offer letters, non-compete documents, etc.) as well as facilitate regular training cadence to ensure employees are trained appropriately on legal and compliance policies and practice
  • Remain abreast of legal, compliance and regulatory developments generally and ensure Formstack remains ahead of the curve on addressing stakeholder needs in these areas
  • Maintain relationships with a roster of external service providers capable of providing high-quality assistance in key areas of specialization (external M&A legal counsel, security and privacy auditors and advisors, etc.)
  • Recruit, retain and mentor top quality legal and compliance staff. Hold team members accountable for deliverables while maintaining culture.

What We’re Looking For:
  • J.D degree from an ABA-approved school or equivalent
  • Licensed attorney qualified to practice in the US
  • 6-10 years of legal experience, with meaningful in-house experience in contract negotiation. SaaS experience is a plus.
  • Subject matter expertise in at least some of the following areas: corporate compliance/governance, litigation, employment, M&A, or privacy and information security
  • Detail-oriented and highly motivated
  • Excellent verbal and written communication skills and professional demeanor
  • Ability to work independently, manage multiple projects/large workloads, and keep deadlines
  • Exceptional business judgment, analytical skills, and critical thinking with demonstrated success working as a team player in a fast-paced environment

Salary Range
: $210,000-$250,000 per year + Bonus up to 20% of base salary
