Cryogenic Industries is the corporate office for leading manufacturers of industrial equipment used in the industrial gas, LNG, oilfield services and related industries. Headquartered in Temecula, California, Cryogenic Industries has manufacturing and service locations in 12 countries around the world.

The Corporate Contracts Manager will work primarily with the U.S. business units, including four locations in Southern California, to ensure that corporate contractual requirements are met in sales contracts with customers and other business contracts. This will be a highly dynamic role, balancing oversight of the U.S. business units’ contract management process with long-term strategic direction and compliance internally and externally to enhance business performance and profitability.

As the Corporate Contracts Manager, your responsibilities will include contract review, negotiation and interpretation, providing contract management guidance and ensuring compliance by the business units with various legal requirements. You will be working closely with both internal and external customers to implement and maintain contracts and agreements that mitigate and reduce risk for the business units.


Essential Functions/Responsibilities

  • Review and negotiate sales contracts (including supply contracts and framework agreements) with customers in conjunction with the business units’ sales teams, ensuring corporate contractual requirements are met in order to minimize risk and potential liabilities to the business units legally and financially.
  • Advise the business units on contract interpretation and complying with customer informational requests, provide contract management guidance and assist executive management with customer dispute resolution as needed.
  • Review and negotiate NDAs and occasional distribution, agent and other agreements for the business units.
  • Communicate and work with the Corporate Legal & Compliance Officer and outside counsel as needed to resolve legal issues, claims and filings.
  • Collaborate with the Corporate Legal & Compliance Officer to develop contract-related policies, procedures and solutions for the business units.
  • Report regularly to executive management regarding how effectively legal and compliance objectives are being met.
  • Manage various competing projects and deadlines in a fast-paced environment while ensuring legal obligations are met.
  • Maintain current knowledge of emerging contract trends and related laws, codes, rules and regulations.
  • Undertake all responsibilities with a superior commitment to ethical practices, integrity and maintaining confidentiality of sensitive information.
  • Other tasks as assigned.

Supervisory Responsibility

This position has no direct supervisory responsibilities but does serve as a coach and mentor for one other position in the department.


Work Environment

This job will operate in a professional office environment and will require the routine use of standard office equipment such as laptop computers, photocopiers and smartphones.


Physical Demands

While performing the duties of this job, the employee will be regularly required to talk and hear. Specific vision abilities required will include close vision and ability to adjust focus. This job will also require the ability to lift files, open filing cabinets and bend or stand on a stool, as necessary.


Education and Experience

  • JD required.
  • A minimum of 5 years’ experience in contract review, negotiation, interpretation and drafting required.
  • Corporate law background preferred, export compliance, intellectual property and/or employment law a plus.
  • Previous work with government, manufacturing and/or construction contracts preferred.
  • Knowledge of both California and Nevada contract law a plus.

Salary:

$85,166 - $122,034 Per Year
