Position Overview:

Equitable Financial Life Insurance Company is seeking a senior ’40 Act attorney to serve as General Counsel for the Equitable Investment Management Legal team, leading legal and compliance for the firm’s retail and annuity-dedicated funds. Reporting to the Equitable Holdings’ Chief Legal Officer, this is a great opportunity to join a seasoned legal team in a key leadership role. The EIM General Counsel has 15 direct reports including 6 attorneys. This highly visible role will lead and drive key initiatives. The successful candidate will be the lead advocate for the company’s investment and risk management principals and help develop EIM’s long-term investment strategy by providing independent opinions to internal clients.

Essential duties and responsibilities of this role include, but are not limited to:

  • Key member of the Equitable Law Department Executive Leadership Team acting as the EIM Practice Group Leader advising other business units and practice groups of pertinent regulatory changes or developments relating to investment advisers and investment companies
  • Key member of EIM’s senior executive team, participating in decisions relating to strategic initiatives, provide advice and guidance as to implementation
  • Manage and lead a dedicated team of Legal and Compliance professionals devoted to providing legal and compliance support for EIM
  • Serve as primary point person for all fund-related regulatory and legal matters
  • Oversee activities of outside counsel to the investment adviser and mutual funds
  • Active oversight and participation of fund board of directors’ meetings, fund registration statements, fund mergers, proxy and information statements and general fund matters
  • Partner with Chief Investment Officer and President of EIM to provide counsel on development of new fund products and initiatives designed to enhance the current fund offering
  • Effectively interfacing with a wide range of stakeholders, including investment teams, compliance, fund administration, insurance product group, marketing and operations, in providing general legal advice relating to the funds.

Qualifications


Experience:

  • A Juris Doctorate degree, and admission in good standing to at least one US State Bar
  • The ideal candidate will have approximately 15-20 years of legal experience with a minimum of 10 years working with the Investment Company Act of 1940.
  • Demonstrated substantive knowledge of the major federal securities acts (i.e., Securities Act of 1933, Securities Exchange Act of 1934, Investment Company Act of 1940, Investment Advisors Act of 1940) is required.
  • Demonstrated experience advising mutual fund boards as well as preparing for and participating in mutual fund board meetings is also required.
  • Must be skilled at working in a matrixed organization and have a strong track record for building alignment and executing the work across multiple teams.
  • The ideal candidate will have a combination of foundational Am Law firm training and experience in-house at an investment management firm.
  • The ability to effectively interact and communicate with senior executives of the Company as well as members of the mutual fund board, and regulators
  • The person we are looking for is an accomplished leader, with a substantive track record of building and leading high performing and engaged teams

The base salary range for this position is $290,000 to $350,000. Actual base salaries vary based on skills, experience, and geographical location. In addition to base pay, Equitable provides compensation to reward performance with base salary increases, spot bonuses, short-term and long-term incentive compensation opportunities. Eligibility for these programs depends on level and functional area of responsibility.
